Engineer Commitment on Service Terms
Ingrid Innes served as a regional network engineer for Ironwood Capital and regularly met with commercial clients to assess needs and coordinate installations. She promised White Telecom a discounted fiber line with priority restoration. Ironwood Capital later refused the pricing and service guarantees. White Telecom sued, and the court applied inherent agency power to determine whether the agency relation alone bound the principal despite the absence of actual or apparent authority.
Manager Contract on Grain Sales
Israel Irving managed daily operations for Iris Energy while the owner resided out of state. He signed a multi-season supply contract with Island Manufacturing that exceeded typical yields and included a strict delivery guarantee. The owner repudiated the deal. Island Manufacturing sued, and the court examined whether the agency relation created inherent agency power that protected the third party even though the terms departed from prior single-season transactions.

How does inherent agency power differ from actual and apparent authority?+
Inherent agency power arises solely from the agency relation itself. It does not depend on any manifestation by the principal to the agent or to third parties. The doctrine therefore operates independently of the requirements that define actual authority or apparent authority.

The doctrine protects third parties who deal with an agent or are harmed by the agent's conduct. It allocates the risk of unauthorized acts to the principal who created the agency relationship and placed the agent in a position to interact with outsiders.
