Terms of Service

These Terms of Service (“Terms”), effective September 9th, 2025, are a binding agreement between you and AcedExams LLC (“AcedExams,” “we,” “us,” or “our”). By using the Service, you agree to these Terms as well as to our Privacy Policy. Please read them carefully, as they limit your rights and include a waiver of class or representative actions in Section 14.

1. Eligibility and Scope

You must be at least eighteen years old, or the age of majority where you live, to use the Service. By creating or using an account, you represent that you are not prohibited from doing so by law or prior restrictions. Accounts are intended for one individual or one entity, and personal login credentials may not be shared. If you act on behalf of an organization, you confirm that you have authority to bind that entity to these Terms. You further agree not to use the Service for the benefit of any competitor in the legal education or test preparation space. Your use of the Service signifies your agreement to these Terms and to our Privacy Policy, located at www.acedexams.com/legal/privacy-policy.

2. License and Use Rights

Subject to compliance with these Terms, AcedExams grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your own educational purposes, or, if you are authorized, to manage a group or institutional subscription. This license does not allow resale, redistribution, reverse-engineering, or any exploitation of the Service beyond the uses expressly permitted. The license terminates immediately if you breach these Terms.

3. Accounts and Security

To use the Service, you must create an account. You may only create one account and must provide accurate, current, and complete information under your real name. You are responsible for maintaining the confidentiality of your login information and for all activity under your account. Device limits may apply, and we may use SMS or other verification methods when you attempt to access your account from new devices. We reserve the right to suspend or terminate accounts that violate these conditions.

4. Subscriptions and Fees

Certain features of the Service require a paid subscription. By subscribing, you authorize AcedExams or its payment processor to charge your payment method on a recurring basis until you cancel. Subscriptions renew automatically unless canceled in advance, and no refunds are provided for unused time. Prices, promotions, and rewards may be changed or discontinued at our discretion. Specific products, such as bar review courses, may carry guarantees, retake, or deferral policies. Those terms, if applicable, are listed on the relevant product pages and control those offerings. All fees are final and nonrefundable except where required by law.

5. Privacy and Monitoring

Our Privacy Policy governs how we collect, use, and process your information. By using the Service, you consent to the practices described there. AcedExams may monitor activity on the Service in order to operate, secure, and improve its features and to ensure compliance with these Terms.

6. User Types

The Service may be accessed by personal users, entity users, or group managers. Personal users subscribe individually. Entity users, such as schools or firms, may have separate agreements with AcedExams; where those agreements conflict with these Terms, the separate agreement governs. Group managers administer multi-seat subscriptions on behalf of a school, firm, or organization and are responsible for billing and user management. Group seats may not be resold, although reimbursement at actual cost is permitted. AcedExams may update features, change functionality, or perform maintenance at any time without liability.

7. Intellectual Property and User Content

All content, trademarks, and other intellectual property associated with the Service belong to AcedExams or its licensors. When you upload, post, or share content through the Service, you retain ownership of that content but grant AcedExams a worldwide, sublicensable, royalty-free license to use, adapt, display, and distribute it for the purposes of operating and promoting the Service. You are solely responsible for your content and must ensure that you have the rights necessary to share it. We follow the Digital Millennium Copyright Act and respond to valid takedown requests. Notices should be directed to support@acedexams.com.

8. Prohibited Conduct

You may not harass or impersonate others, scrape or data-mine without our consent, hack or probe security systems, upload malware or spam, bulk copy or redistribute our content, train artificial intelligence models on our content without permission, or use the Service for fraudulent, illegal, or unauthorized purposes. Any such use may result in suspension, termination, or legal action, and no refunds will be provided.

9. Third-Party Content and Links

The Service may display opinions or information from third parties, as well as links to external websites. AcedExams does not guarantee the accuracy or reliability of such content and is not responsible for losses arising from reliance on it. Posts by licensed professionals are not substitutes for professional advice tailored to your circumstances. External websites are beyond our control, and you use them at your own risk.

10. Disclaimers and Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and uninterrupted availability. You are responsible for backing up your data, and we are not liable for data loss or corruption. To the fullest extent permitted by law, our total liability to you for any claim shall not exceed the greater of one hundred dollars ($100) or the amount you paid AcedExams for the relevant service in the three months prior to the claim. We are not liable for indirect, incidental, or consequential damages of any kind.

11. Indemnification

You agree to defend, indemnify, and hold harmless AcedExams, its affiliates, and their respective officers, employees, and agents from all claims, damages, and expenses, including attorneys' fees, arising out of your use of the Service, your content, your violation of these Terms, or your violation of law or third-party rights.

12. Communications and Feedback

By creating an account, you consent to receive emails and messages from AcedExams concerning your account, our products, and promotional opportunities. You may unsubscribe by following the instructions in those communications. Any feedback or suggestions you submit may be used freely by AcedExams without obligation to you.

13. Termination

AcedExams may suspend or terminate your account at any time, with or without cause. You may terminate your account by notifying us at support@acedexams.com. Upon termination, your access to the Service ends immediately and we may delete your information. Provisions relating to fees, intellectual property, indemnity, disclaimers, and dispute resolution survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of Wyoming without regard to its conflicts of law rules. All disputes must be resolved in the state or federal courts located in Cheyenne, Wyoming, and you consent to the jurisdiction of those courts. To the fullest extent permitted by law, you waive the right to bring or participate in any class or representative action against AcedExams. Any claim must be filed within one year of arising or it is permanently barred.

15. General Provisions

These Terms, along with our Privacy Policy, constitute the entire agreement between you and AcedExams regarding the Service. If any provision is found invalid, the remaining provisions remain in effect. We may update these Terms by posting changes prospectively; continued use of the Service constitutes acceptance of those changes. Our failure to enforce any provision is not a waiver. You may not assign your rights without our consent, but we may assign ours. You and AcedExams are independent contractors, and nothing here creates an employment or partnership relationship. Breach of intellectual property or confidentiality obligations may entitle us to injunctive relief. Section headings are for convenience only.
