Judicial examination of whether a governmental or organizational action falls outside the legal authority granted to the actor. Ultra vires review asks only whether the actor possessed legal authority to act at all. Arbitrary-and-capricious review assumes authority exists and examines the reasonableness of the choice made within that authority. Courts apply the former when the claim is that the action lies outside the statute or constitution.
